I. INTRODUCTION – SCOPE OF APPLICATION
These Terms of Use govern access to and use of the website www.ovolus.com (hereinafter also referred to as the “Website”).
The website www.ovolus.com is intended to operate as an electronic platform for the provision of crowdfunding services, managed by the company “One Three Capital S.A. – Crowdfunding Service Provider” (hereinafter also referred to as the “Company”), having its registered seat in Marousi, Attica (21 Sifnaion Aggeioplaston Street, PC 15125), registered with the General Commercial Registry (G.E.MI.) under number 178674907000.
The Company has been duly authorised as a Crowdfunding Service Provider pursuant to Regulation (EU) 2020/1503, by virtue of Decision No. 1043/27.12.2024 of the Board of Directors of the Hellenic Capital Market Commission, to provide the following services:
(a) placement of transferable securities without a firm commitment basis,
(b) reception and transmission of orders in relation to such transferable securities, and
(c) operation of a bulletin board.
The above services will be provided through the website www.ovolus.com.
At present, the Website is under construction. Its full operational launch is expected in the near future. However, users may already become acquainted with the Company, contact us, and create a personal account in order to receive news and updates (see Section II below).
Access to and use of the Website implies the unconditional acceptance of these Terms of Use. Users who create an account during the pre-operational phase of the Website and expressly accept these Terms of Use will be required to accept new Terms of Use once the Website officially commences operation as an electronic crowdfunding services platform.
II. WEBSITE FUNCTIONALITIES
At the current stage of operation, users may:
- Learn about the Company and the services it provides.
- Contact us via the links https://ovolus.com/contact/ and https://ovolus.com/get-funding/.
- Create a personal account using unique credentials in order to receive news and updates from us.
At this stage, creating an account does not grant access to crowdfunding services. A prerequisite for account creation is that the user has full legal capacity.
For the purposes described under points 2 and 3 above, users are required to provide their name and email address, and optionally their telephone number.
Users are not entitled to disclose, transfer, or otherwise make their account credentials available to any third party, nor to allow third-party access to their account. Users must promptly notify the Company if they become aware of or suspect any unauthorised use or breach of their access credentials.
Users bear full and exclusive responsibility for any act or omission carried out through their account until the time they notify the Company of unauthorised use and, where required, change their access credentials. User liability ceases only upon timely notification to the Company and the implementation of appropriate measures to restore the security of the account.
III. SUSPENSION OR DELETION OF ACCOUNT
The Company reserves the right to suspend or delete a user account in the event that:
(a) the information provided by the user is false or does not correspond to a real person; or
(b) the user violates any of the present Terms of Use.
IV. USER CONDUCT
Users are required to use the Website exclusively for lawful purposes and in accordance with Greek, European Union, and international law. Any use that may cause damage to the Website, the Company, or third parties, as well as any act of unfair competition or unlawful interference with the operation of the Website, is strictly prohibited.
V. INTELLECTUAL AND INDUSTRIAL PROPERTY RIGHTS
All content of the Website, including indicatively but not limited to trade names, distinctive titles, trademarks, texts, images, graphics, designs, services, software, data, news, articles, and informational material of any form, constitutes intellectual and industrial property of the Company or the respective rights holders and is protected under applicable Greek, EU, and international intellectual property laws.
Any copying, sale, exploitation, modification, publication, transmission, performance, issuance, uploading, transfer, reproduction, distribution, presentation, or any other use of the Website’s content, in whole or in part, by any means and for any purpose, commercial or otherwise, without the prior written consent of the Company, is strictly prohibited.
Any third-party trademarks, distinctive signs, or intellectual property appearing on the Website remain the property of their respective lawful owners and are protected accordingly.
VI. DISCLAIMER OF WARRANTIES – LIMITATION OF LIABILITY
Although the Company makes every reasonable effort to ensure that the information provided on the Website is complete, accurate, up to date, and clear, the use, evaluation, and reliance on such information remain the sole responsibility of the user.
The Company shall not be liable for any technical issues that may arise during access to or use of the Website and that relate to the operation or compatibility of the user’s infrastructure with the Website.
The Company expressly informs users that, to the fullest extent permitted by law, including in cases of negligence, it shall not be liable for any damage suffered by users as a result of the use of the Website or the information contained therein.
VII. TECHNICAL OPERATION AND SECURITY
Access to the Website is made exclusively at the user’s own initiative. Users are solely responsible for possessing the necessary equipment, software, and services required to access the Website, as well as for protecting their systems from viruses or other malicious software.
The Company has taken, to the extent reasonably possible, all necessary measures — including system upgrades and the use of antivirus and security tools — to ensure a high level of security and protection of the Website against viruses and other malicious software. The Company also monitors access to the Website through security systems to prevent attacks and other unauthorised actions.
Nevertheless, the Company does not guarantee that the content of the Website is free from viruses or other harmful elements and shall not be liable for any damage to the user’s equipment, software, or files resulting from use, copying, downloading, alteration, or infection by viruses or other unauthorised third-party interventions in data and information made available through the Website.
VIII. PERSONAL DATA AND COOKIES
By using the Website, users declare that they have read and accepted the Company’s Privacy Policy and Cookie Policy, which are available on the Website.
IX. AMENDMENT, SUSPENSION, AND TERMINATION OF OPERATION
The Company reserves the right, at any time and without prior notice, to modify, suspend, or discontinue the operation of the Website or any part thereof, to amend these Terms of Use, and to temporarily suspend the Website for maintenance or upgrade purposes.
The amended Terms of Use shall always be available on the Website. The version in force shall be the most recently updated one. Users are responsible for reviewing any amendments, and continued use of the Website constitutes acceptance of the modified Terms.
Users who create an account during the pre-operational phase of the Website and expressly accept these Terms of Use will be required to accept new Terms of Use once the Website officially begins operating as a crowdfunding services platform.
X. MISCELLANEOUS
These Terms of Use constitute the entire agreement between the user and the Company. They do not create any rights in favor of third parties.
If any provision of these Terms of Use is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
The Company does not accept any deviations or counterproposals to these Terms of Use unless expressly agreed in writing.
Any failure or delay by the Company in exercising any right under these Terms of Use shall not constitute a waiver of such right, nor shall it be construed as a modification or implied acceptance of any contrary term.
XI. GOVERNING LAW – JURISDICTION
These Terms of Use are governed by Greek law.
Any dispute arising out of or in connection with the interpretation, validity, performance, or enforcement of these Terms of Use or the use of the Website shall fall under the exclusive jurisdiction of the Courts of Athens, Greece.
